Our contracts

The following contracts are the most common research contracts that we review here at CSM Legal.

Amendment

  • An agreement that changes or amends the existing/prime agreement.  This may include time extensions, additional funds, change in parties to the agreement, etc.
  • E.g. PI on either side requests changes to an end date of the prime agreement.

Confidential Disclosure Agreement (CDA)/Non-Disclosure Agreement (NDA)

  • An agreement between two or more parties aimed at preserving the confidentiality of certain information that the parties want to share. Can be one-way or mutual.
  • E.g. a PI has a meeting to discuss the possibility to participate in a research project and needs to sign a confidentiality disclosure agreement before any information is disclosed at the meeting.

Clinical Research Contract

An agreement to perform a research project that is conducted on, or for the treatment of human subjects. Clinical research includes projects where living human subjects, human tissues, human remains, cadavers, biological fluids, embryos, fetuses, and patient information (including de-identified databases) are used. Clinical research has the goal of improving the diagnosis, prevention, and treatment of disease and injury, and improving and evaluating the health and quality of life of individuals.  This research will require Human Ethics Certification prior to completion of the Research Contract review.  This category includes clinical trials, observational studies, and amendments to clinical research contracts, clinical service agreements and data transfer agreements of AHS information that has not been aggregated or analyzed.

Non-Clinical Research Contract

  • Any research agreement that does not fit into the Clinical Research Contract definition (see above) or does not fit into any of the other definitions included in this list. 

  • Typically industry or non-for-profit sponsored

Data Transfer Agreement/Data Sharing Agreement (incoming)

  • An agreement in which data (de-identified patient information, video, images) is being received by a UCalgary’s researcher from an external party.  If any funds are involved, they are usually just transferring and shipment costs.
  • E.g. a PI receives an encrypted USB with a chart that contains the results from a study from a researcher in another university.

Data Transfer Agreement/Data Sharing Agreement (outgoing)

  • An agreement in which data (de-identified patient information, video, images) is being sent to an external party by UCalgary’s Researcher.  If any funds are involved, they are usually just transferring and shipment costs. This data may involve AHS information being transferred.
  • E.g. a PI sends images from a study to a researcher in another university.

Material Transfer Agreement (incoming)

  • An agreement in which UCalgary Researcher is receiving materials needed for their research (e.g. cell lines, mice, plasmids, etc). If any funds are involved, they are usually just for transfer and shipment.
  • E.g. a PI receives antibodies from a researcher in another university.

Material Transfer Agreement (outgoing)

  • An agreement in which UCalgary Researcher is sending out materials needed by external party for their research (e.g. cell lines, mice, plasmids, etc).  If any funds are involved, they are usually just for shipping.
  • E.g. a PI sends cell lines to a researcher in another university.

Research Grant Agreement

An agreement where funding is provided for the conduct of research and where the research office anticipates no substantial provision of intellectual property rights to the sponsor. Grants are most commonly awarded by sponsors who desire to advance a scientific, cultural or humanitarian public purpose.

Service Agreement (UCalgary being hired)

  • An agreement where UCalgary Researcher is being hired to perform a service for an external party. 
  • E.g. UCalgary testing equipment for an external party

Service Agreement (UCalgary hiring)

  •  An agreement where an external party is being hired by UCalgary to perform a service; UCalgary is procuring the service.
  • Please note that if this service is not directly related to a research project, you will have to contact Supply Chain Management, as this agreement will not be processed by CSM Legal.

Sub-Contract

  • A contract for Incoming funds when UCalgary PI is collaborating with an external researcher, who has directly received the funds from a sponsor through a research contract. The same idea will apply for the outgoing funds to an external researcher who is collaborating with the UCalgary PI.
  • E.g.  An external institution provides funds to UCalgary PI out of their contract with a sponsor
