Types of Agreements Our Office Handles

Please review the below list to understand what type of agreement you’re submitting or need drafted.

  • Changes/amends an existing agreement.  This may include time extensions, additional funds, party changes, scope of work changes, revising data received/provided, revising materials received/provided etc.
  • Ex: Sponsor wants to extend your research an additional year or Institution wants to provide you additional data for your researcher.
  • An agreement that binds the parties to keep confidential information amongst themselves. These can be one-way or mutual.
  • Ex: Researcher and Sponsor wish to meet to discuss possible research project. Parties wish to sign a CDA/NDA to ensure confidentiality of the meeting discussions.
  • An agreement to perform a research project that is conducted on, or for the treatment of human subjects.
  • Clinical research includes projects where living human subjects, or patient information (including de-identified databases) are used. Clinical research has the goal of improving the diagnosis, prevention, and treatment of disease and injury, and improving and evaluating the health and quality of life of individuals.  This research will require Human Ethics Certification prior to completion of the Research Contract review.  This category includes clinical trials, observational studies, and amendments to clinical research contracts, clinical service agreements and data transfer agreements of AHS information that has not been aggregated or analyzed.
  • Any research agreement that does not fit into the Clinical Research Contract/Clinical Trial Agreement definition (see above) or does not fit into any of the other definitions included in this list. 
  • Typically Industry or Non-for-profit sponsored.
  • An agreement where funding is provided for the conduct of research and where the Sponsor anticipates receiving no substantial intellectual property (IP) rights and the funding is awarded to advance a scientific, cultural or humanitarian purpose.

A contract whereby a UCalgary PI is collaborating with an external researcher who has directly received funding from a Sponsor through a research contract. The external researcher is providing funds to UCalgary for UCalgary’s research. Similarly, if UCalgary has received funding from a Sponsor and will be providing funding to a third-party external researcher who is collaborating with the UCalgary PI.

Incoming:

  • An agreement in which data is being received by UCalgary from an external party.  If any funds are involved, they are usually just transferring and shipment costs.
  • E.g. PI is receiving data from the results of a study from a researcher in another university.
  • Data can include: de-identified patient information, patient data, video, images, etc.

Note: All incoming DTAs are to be submitted as ‘non-clinical’ in SharePoint.

Outgoing:

  • An agreement in which data is being sent to an external party by UCalgary.  If any funds are involved, they are usually just transferring and shipment costs. This data may involve AHS information being transferred.
  • E.g. PI is sending data from a study to a researcher in another university.
  • Data can include: de-identified patient information, patient data, video, images, etc.

Note: If data originates from AHS facility or AHS patient data, AHS will be required to be a party.

Incoming:

  • An agreement in which UCalgary is receiving materials needed for their research. If any funds are involved, they are usually just for transfer and shipment.
  • E.g., PI is receiving antibodies from a researcher in another university.
  • Materials can include: cell lines, mice, plasmids, equipment, etc.

Outgoing:

  • An agreement in which UCalgary is sending out materials needed by external party for their research.  If any funds are involved, they are usually just for shipping.
  • E.g., a PI sends cell lines to a researcher in another university.
  • Materials can include: cell lines, mice, plasmids, equipment, etc.

UCalgary being hired:

  • An external party is hiring UCalgary to perform a service.
  • E.g., UCalgary is being compensated to test equipment for an external party.

UCalgary hiring:

  • UCalgary is hiring an external party to perform a service; UCalgary is procuring the service.
  • E.g., ABC Corp is being compensated to test equipment for UCalgary.

Note: If UCalgary is paying a for-profit external party for a good or service that is not a research service or research collaboration, this should be routed to Supply Chain Management.

What CSM Legal does NOT handle:

  • Any research that is conducted by non-Cumming School of Medicine faculty which is non-clinical research. This research should be direct to the University of Calgary Legal and IP team.
  • Any Agreement whereby UCalgary is paying a for-profit company for goods or services that are not a research service or a research collaboration. This should be directed to Supply Chain Management.
  • Finance/budget related forms
  • Overhead waiver/reduction applications
  • Research/grant applications
  • IP agreements (patentable IP, commercialization)
  • Any Agreement/Contract whereby the University of Calgary is not a party
